END USER LICENSE AGREEMENT
LICENSE AGREEMENT BETWEEN VENDOR AND CUSTOMER:
The following terms apply unless more restrictive terms are specified in the text description of the product:
1. OWNERSHIP :
The Vendor retains copyright of products purchased or downloaded by any 3rd party via The123D. Any trademarks, or other rights related to the products remain with the vendor.
2. LICENSE BETWEEN VENDOR & 3rd PARTY :
Any license rights relating to products for sale via The123D depend upon the transfer of money from the 3rd party to the Vendor. All license rights granted to a 3rd party terminate immediately and without notice if a sale is reversed for any reason.
3. RIGHTS GRANTED BY VENDOR :
The Vendor grants to the 3rd party who purchases license rights to content via a valid sale, a royalty-free, permanent, worldwide, non-exclusive, non-transferable, non-sublicensable license with respect to its rights in the products sold.

4. RESALE : 3rd party customers who have purchased or downloaded content from The123D may not further publish, market, distribute, give, transfer, sell or sublicense the content.
5. REFUNDS & RETURNS POLICY :
Refunds are given at the discression of The123D. Because digital goods are easily transferrable refunds are not normally issued, although we will deal them on a case by case basis. In the event a 3rd party returns any content, all license rights granted herein terminate and the 3rd party must immediately destroy any and all copies contained on any type of media under the control or possession of the 3rd party.
END USER LICENSE AGREEMENT
LICENSE GRANT BETWEEN VENDOR AND THE123D:
For any Vendors who provide The123D with any type of content for free distribution or sale, the following terms apply:
The Vendor hereby grant to The123D, and by the act of delivering content to us, a non-exclusive, worldwide, royalty-free license to reproduce, sell, and distribute net proceeds from any sale, and to publicly display, digitally perform, create and use samples of the content solely for the purpose of demonstrating or promoting the vendor's products or services or those of The123D. The123D may use any trademarks, service marks or trade names incorporated in the content in connection with your material.
1. OWNERSHIP :
You retain ownership of the copyrights and all other rights in your content, subject to the non-exclusive rights granted to The123D under this agreement. You are free to grant similar rights to others during and after the term of this agreement.
2. TERMINATION :
The license grant contained in this agreement may be terminated at any time by either party upon written notice via email or regular mail.
3. ROYALY PAYMENTS & COMMISSION :
Vendors will be entitled to receive all royalty payments collected by The123D in the form of payments distributed each month via Paypal, provided the funds in the vendor's account permit. Bank wire transfers are subject to agreement with the123D. The123D will be entitled to a commission in the amount of 50% which it will deduct upon receipt. The123D may at any time implement a program whereby the Vendor receives greater than 50% subject to agreement between the vendor and The123D.
4. WARRANTIES :
The term "Content" means any type of content provided by the Vendor.
• You will only provide computer files that you own and have copyrights to and which are your original work, and contain no copyrighted material that you are not the exclusive owner of.
• You have full right and power to enter into and perform this agreement.
• You will not upload or add any computer files depicting pornography, and will not be defamatory, libelous, obscene or evocative of racial hatred of any kind.
• The Content does not and will not violate any law, statute, ordinance or regulation.
• The Content does not and will not contain any viruses or other programming routines that detrimentally interfere with computer systems or data.
• You agree to indemnify and hold The123D and our customers harmless from any and all damages and costs, including reasonable legal fees, arising out of or related to your breach of the warranties described in this section.
• Account Non-Transferability. The123D Vendor and Member accounts may only be used by the licensee. They may not be transferred or accessed by any other party without the explicit written permission of The123D.com
LIMITATION OF LIABILITY AND WARRANTY:
Disclaimer: Although every effort has been made to keep content virus free, The123d.com does not accept any responsability for any disruption, damage and/or loss (including but not limited to loss of profits) that may occur while using The123d content and products. We recommend that you run a virus check before use.
A 3rd PARTY WHO USES CONTENT ORIGINATING FROM THE123D.COM AGREES THAT THE USE IS ENTIRELY AT CUSTOMER'S OWN RISK. PRODUCTS ARE PROVIDED 'AS IS,' WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY FOR INFORMATION, SERVICES, UNINTERRUPTED ACCESS, OR PRODUCTS PROVIDED THROUGH OR IN CONNECTION WITH THE SERVICE, INCLUDING WITHOUT LIMITATION THE SOFTWARE LICENSED TO THE CUSTOMER AND THE RESULTS OBTAINED THROUGH THE SERVICE. SPECIFICALLY, WE DISCLAIM ANY AND ALL WARRANTIES, INCLUDING WITHOUT LIMITATION: 1) ANY WARRANTIES CONCERNING THE AVAILABILITY, ACCURACY OR CONTENT OF INFORMATION, PRODUCTS OR SERVICES; AND 2) ANY WARRANTIES OF TITLE OR WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF RECORD, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. CUSTOMER SPECIFICALLY ACKNOWLEDGES THE SERVICE IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER CUSTOMERS OR THIRD-PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH CUSTOMER.
NEITHER THE SERVICE NOR ANY OF ITS AGENTS, AFFILIATES OR CONTENT PROVIDERS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE PRODUCTS OR INABILITY TO GAIN ACCESS TO OR USE THE PRODUCT OR OUT OF ANY BREACH OF ANY WARRANTY. CUSTOMER HEREBY ACKNOWLEDGES THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL CONTENT.
